The Boards

The Boards of Reed Elsevier PLC, Reed Elsevier NV and Reed Elsevier Group plc comprise a balance of executive and non-executive directors who bring a wide range of knowledge and experience to their roles.

All non-executives are independent of management and free from any business interest that could compromise their independence or their ability to scrutinise the governance of the company.

The Boards of the three companies are also harmonised. 

In compliance with the UK Corporate Governance Code issued in May 2010, all directors of Reed Elsevier PLC and Reed Elsevier NV seek annual re-election at the respective Annual General Meetings. As a general rule, letters of appointment in respect of non-executive directors of Reed Elsevier PLC and Reed Elsevier NV provide that individuals will serve for an initial term of three years, and are typically expected to serve two three-year terms, although the boards may invite an individual to serve for an additional period of three years.

In recommending appointments to the boards, the Nominations Committee considers the knowledge, experience and background of individual directors and has regard to diversity. The Committee has reviewed the recommendations of the Davies Review “ Women on boards” issued in February 2011, which sets an aspirational target of 25% female representation on FTSE 100 boards by 2015. By 2013 we anticipate the Reed Elsevier NV Board will be comprised of 30% women and the Reed Elsevier PLC Board will be comprised of 22% women.
